Terms & Conditions

These Terms & Conditions ("Terms") govern your use of MartPOS, the billing, stock and khata software for kiryana and general stores, grocery stores and mini marts made by Innobrains Technologies ("Innobrains", "we", "us" or "our"), of Jhang, Punjab, Pakistan. They apply to the MartPOS website, the MartPOS Windows app (the till and the store server), MartPOS Cloud and its owner portal, the Cloud edition, the Offline edition and any related services (together, the "Service").

By creating an account, installing or activating MartPOS, or paying for a plan, you agree to these Terms on behalf of yourself and the shop or business you represent ("you", "your" or the "Customer"). If you do not agree, do not use the Service. Our Privacy Policy and Refund Policy form part of these Terms.

1. Definitions

  • Store PC: the shop's main Windows PC, on which MartPOS is installed and which keeps that branch's records. Where your plan allows, other PCs of the shop can be added as extra tills over the shop network.
  • MartPOS Cloud: our online service, with the owner portal in which owners and the people they invite see their branches.
  • Cloud edition: MartPOS on your store PC, paired with MartPOS Cloud. The store PC sends its records to MartPOS Cloud, so that you can see each branch in the owner portal, send changes such as new items and prices to your store PCs, and run several branches where your plan allows.
  • Offline edition: MartPOS on your store PC for one shop (one branch). It is activated once with MartPOS Cloud and checks its licence when it is online, but it sends no business records to MartPOS Cloud unless you add the cloud add-on.
  • Plan: the package you choose, with the branches, counters (tills), staff accounts and features shown on our pricing page and in the owner portal under Plan & billing.
  • Licence: your right to use MartPOS on your shop's PCs within your plan's limits. Each store PC holds it as a licence signed by us.
  • Users: the owner, the people an owner invites to the owner portal, and the staff accounts set up on the store PC.
  • Shop Data: the records you or your Users enter into MartPOS, such as items, prices, stock, sales, purchases, customers, suppliers, khata and expenses.

2. Eligibility and your account

  • You must be at least 18 years old and authorised to act for the shop or business named on the account.
  • You must give accurate and complete information when you sign up and keep it up to date. New accounts may be reviewed before their trial starts, and we may decline an account at our discretion.
  • You are responsible for keeping passwords, PINs and pairing codes confidential, and we recommend turning on two-step sign-in. You are also responsible for all activity under your account, including the store PCs you pair with it, the actions of the Users you add and the roles you give them. Revoke a PC you no longer control in the owner portal.
  • Tell us promptly through Support in the owner portal or our contact form if you suspect any unauthorised use of your account.

3. Trial

  • Where we offer a trial, a new business may use MartPOS without charge for the trial period shown when it signs up, without a payment card. One trial is available per business, mobile number and email address.
  • When the trial ends, a short grace period follows. After it, new sales and purchases stop on your store PCs until you buy a plan. Your records are kept: they stay readable and printable, and money owed to the shop can still be received.
  • We may shorten or end a trial that is being misused, for example by opening repeated trials for the same shop.

4. Plans, prices and payment

  • Prices are shown in Pakistani rupees on our pricing page and in Plan & billing. There is no setup fee.
  • You choose a plan in the owner portal, which gives you an invoice. You pay it by bank transfer, JazzCash or EasyPaisa to the account shown on the invoice, and upload the proof of payment with its transaction reference. A plan, renewal or add-on starts once we have verified the payment. Nothing on our website takes a card payment.
  • Paying a renewal early never loses days: the new period starts when the current one ends.
  • We may change our prices. A new price does not affect a period or licence you have already paid for; it applies to renewals and new purchases after the change.
  • If you move to another plan or edition while a paid period is running, the new plan starts once your payment is verified, and the time left on your current plan is added to it at what it was worth (its price for a month against the new plan's).
  • Where we offer them, extra branches, counters and staff accounts are add-ons: bought during a paid period, they are charged for the days left in it, and they renew with your plan.
  • Refunds are governed by our Refund Policy.

5. Cloud edition subscriptions

  • A Cloud subscription runs for the period you pay for, one month or one year. It is not renewed or charged automatically: you renew by paying the renewal invoice.
  • If a subscription is not renewed by its end date, a grace period with full use follows. After that, new sales and purchases stop on your store PCs, while your records stay readable and printable, and returns, money received from customers, payments to suppliers, reports, exports and backups keep working. Paying for a plan restores full use.
  • A store PC renews its licence with MartPOS Cloud whenever it is online, at least once an hour. Daily billing does not need the internet. If a store PC cannot connect for about 30 days, a grace period follows, and then new sales and purchases stop until it connects again.
  • We do not delete your records because a subscription has ended. Deletion happens only as described in section 15 and in our Privacy Policy.

6. Offline edition licence

  • Grant: when you buy an Offline licence, we grant you a non-exclusive, non-transferable licence to use the Offline edition for one shop (one branch), on its store PC and on as many counters (tills) and staff accounts as your plan allows.
  • Lifetime or term: the Offline edition is sold as a lifetime licence, paid once with no yearly fee, or for a fixed term, as the pricing page shows for each plan. A lifetime licence never expires and includes the updates we publish for the MartPOS Windows app. It does not include separately priced add-ons (such as the cloud add-on), services or new products. A term licence works to the end of the period you paid for, followed by a short grace period.
  • Activation and check-ins: the store PC is activated once with MartPOS Cloud and then works without the internet. When it is online it checks its licence and looks for updates, so that a change to your plan, or a suspension, reaches it.
  • Cloud add-on: where we offer it, an Offline licence can sync with MartPOS Cloud, monthly or yearly, with the add-on. While it runs, the store PC sends its records to MartPOS Cloud as on the Cloud edition. When it ends, syncing stops and the records wait on the store PC until it is renewed; your Offline licence keeps working.
  • Transfer: the licence belongs to the business that bought it. It may not be sold, lent or transferred to another business or branch without our written consent, for example when a shop changes owner.

7. Acceptable use and licence restrictions

You must not, and must not allow anyone else to:

  • copy, modify, decompile, reverse engineer, crack or create derivative works of MartPOS, except as the law expressly permits;
  • bypass, disable or tamper with the licence, pairing, plan limits, clock checks, update signatures or any other protection;
  • share, sell, rent, sublicense or resell the Service, an account, a licence or a pairing code, pair PCs you are not entitled to, or use one licence for more shops, branches or counters than it covers;
  • try to access other customers' data, our systems or our source code, or probe, scan or test the Service's security without our written permission;
  • upload malicious code, overload or disrupt the Service, or collect data from it by automated means other than the features we provide;
  • use the Service for anything unlawful, including in breach of the Prevention of Electronic Crimes Act, 2016.

Breach of this section is serious misuse. It entitles us to suspend or end the account and licence without refund, and to take any legal action available to us.

8. Your shop's legal responsibilities

  • You are solely responsible for running your shop lawfully, including the tax laws and record-keeping rules that apply to you.
  • MartPOS is a business tool. It does not give legal, tax or accounting advice. Its reports, alerts and calculations support your decisions but do not replace your own judgement or your adviser's.
  • You are responsible for what you enter: every item, price, tax rate, PCT code, barcode, expiry date, stock count and balance. MartPOS applies each item's tax rate as you entered it and never chooses a tax rate or a PCT code for you.
  • Payments your customers make by card, bank transfer, EasyPaisa or JazzCash are recorded as your staff enter them. MartPOS does not confirm them with the bank or wallet provider, so check that the money has arrived.

9. FBR POS integration

  • FBR POS integration is optional and stays off until you switch it on. When it is on, your store PC reports each sale and return to the Federal Board of Revenue right after the bill is saved, through FBR's online system or FBR's Fiscal Component, using the FBR POS ID, access token or Fiscal Component details you provide, and the receipt carries the FBR invoice number and QR code.
  • You are responsible for your registration with FBR, the accuracy of those details and of your items' tax rates and PCT codes, and your tax and fiscal obligations. Confirm them with FBR or your tax adviser.
  • A bill is saved whatever FBR's system does, and invoices that cannot reach FBR are sent again automatically. We are not responsible for outages or changes of FBR's systems, or for penalties arising from incorrect details, settings or registration.

10. Your data and backups

  • Your Shop Data belongs to you. You grant us the rights needed to host, process and transmit what your store PCs send only to provide the Service to you, as described in our Privacy Policy.
  • You are responsible for having a lawful basis to record the personal information of your customers, staff and suppliers in MartPOS.
  • Your records stay on your store PC, where you can view, print and export them at any time, including after a trial or plan has ended. A suspension of your licence does not delete your data.
  • MartPOS makes backups on your store PC. You are responsible for that PC, its security and power, and for keeping copies of your backups somewhere else, such as a second folder, a USB drive or, where your plan includes it, a copy on MartPOS Cloud.
  • A backup protected with your backup password can be opened only with that password. Keep it written down somewhere safe: if it is lost, neither you nor we can open those backups.

11. Intellectual property

MartPOS, its software, designs, documentation, content and the MartPOS and Innobrains names and logos belong to Innobrains Technologies and are protected by law. Apart from the right to use the Service under these Terms, no rights are transferred to you. If you send us suggestions or feedback, we may use them freely to improve MartPOS.

12. Third-party services

The Service works with services we do not control. These include your internet provider, banks and mobile wallets, FBR, SMS and email providers, Microsoft Windows, your printers, barcode readers and other devices, and the providers that carry and deliver our Service. Their own terms apply to them. We are not responsible for their availability or actions.

13. Availability, updates and support

  • Billing, stock and khata run on your own store PC and do not depend on the internet; tills on other PCs need the store PC and the shop network. We work to keep MartPOS Cloud available at all times, but we do not promise uninterrupted service: maintenance, internet problems or events outside our control may interrupt it. Figures in the owner portal are each store PC's own, as of the time it last reported, and the portal shows when that was.
  • We improve MartPOS over time and may add, change or remove features. Updates are signed and checked before they are installed, with a backup of the shop's data taken first; you choose when to install them, or let MartPOS install them at night. Some updates may be required for security, licensing or legal reasons.
  • Support is provided through Support in the owner portal and the contact details on our contact page, during the business hours shown there.

14. Suspension

We may suspend or restrict an account or licence, with notice where practical, if:

  • you breach these Terms, in particular section 7;
  • a payment is not genuine or is overdue beyond the grace period;
  • it is needed to protect the Service, other customers or the public; or
  • the law or an authority requires it.

A suspension reaches a store PC when it next connects. While it lasts, new sales and purchases stop and your records stay readable. Where the problem can be fixed, we restore access once it is fixed.

15. Ending your use

  • You may stop using MartPOS at any time. You can ask us to close your account and delete its records in MartPOS Cloud through Support in the owner portal or our contact form, giving the email address registered on the account.
  • We may end an account or licence for serious or repeated breach of these Terms. Where we end it for another reason, we will give reasonable notice. Your records remain on your store PC.
  • Sections 7, 8, 10, 11 and 16 to 20 continue to apply after your use ends.

16. Disclaimer

We provide the Service with reasonable care and skill. Apart from what these Terms expressly say, and as far as the law allows, the Service is provided "as is" and "as available". We give no other warranties, including that it will be error-free or will meet every need of your shop.

17. Limitation of liability

  • As far as the law allows, we are not liable for indirect or consequential loss. This includes lost profit, revenue, stock, data or goodwill, and loss caused by incorrect data entered into MartPOS, failure of your own PCs, printers, network or internet, or backups you did not keep.
  • Our total liability for all claims relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose. For an Offline licence, it is limited to the price paid for that licence.
  • Nothing in these Terms limits liability that cannot be limited by law.

18. Indemnity

You agree to compensate us for claims, losses and reasonable costs that arise from your unlawful use of the Service, your breach of these Terms, or Shop Data you recorded without the right to do so.

19. Events outside our control

We are not responsible for delay or failure caused by events beyond our reasonable control. Examples include power or internet failures, natural disasters, strikes, government action, or failures of third-party services.

20. Governing law and disputes

These Terms are governed by the laws of Pakistan. If a dispute arises, please contact us first. We will try in good faith to settle it within 30 days. If it cannot be settled, the courts at Jhang, Punjab, have jurisdiction.

21. Changes to these Terms

We may update these Terms from time to time. The date of the latest update is shown below, and we will tell you in the owner portal or by email about important changes. If you keep using the Service after a change takes effect, you accept the updated Terms.

22. General

  • These Terms, with the Privacy Policy and the Refund Policy, are the entire agreement between you and us about the Service.
  • If any part of these Terms is found unenforceable, the rest remains in force.
  • If we do not enforce a right straight away, we do not waive it.
  • You may not transfer your rights under these Terms without our written consent. We may transfer ours, for example to a company that takes over MartPOS, and will tell you if we do.
  • We may send you notices by email to your registered address or in the owner portal.
